TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL BECKMERE, ITS AFFILIATES, OFFICERS, MEMBERS, MANAGERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS OPPORTUNITY, OR USE, ARISING OUT OF OR RELATING TO THESE TERMS, THE SITES, ANY PRODUCTS OR SERVICES, OR ANY USER CONTENT, WHETHER BASED ON CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT BECKMERE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT WILL BECKMERE'S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SITES EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO BECKMERE THROUGH THE APPLICABLE SITE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

Some jurisdictions do not allow the exclusion or limitation of certain warranties or damages, so some of the above limitations may not apply to you. In those jurisdictions, our liability is limited to the maximum extent permitted by law.

15. Governing Law and Venue

These Terms and any dispute arising out of or relating to them or the Sites are governed by the laws of the State of Tennessee, United States, without regard to its conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

You and Beckmere agree that any action, suit, or proceeding arising out of or relating to these Terms or the Sites shall be brought exclusively in the state or federal courts located in Davidson County, Tennessee, and you consent to the personal jurisdiction and venue of those courts and waive any objection based on forum non conveniens.

To the fullest extent permitted by law, YOU AND BECKMERE EACH WAIVE ANY RIGHT TO A TRIAL BY JURY in any action arising out of or relating to these Terms or the Sites.

Any cause of action arising out of or related to the Sites must be commenced within one (1) year after the cause of action accrues, or it is permanently barred.

16. Changes to These Terms

We may modify these Terms at any time. When we do, we will revise the "Last updated" date at the top of these Terms and post the updated version on beckmere.com. If we make material changes, we will provide additional notice (such as a banner on the Sites or, for account holders, an email).

Your continued use of the Sites after the effective date of any update constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Sites.

17. General

Entire agreement. These Terms, together with our Privacy Policy and any additional terms applicable to a specific Site or service, constitute the entire agreement between you and Beckmere regarding the Sites and supersede all prior agreements and understandings.

Severability. If any provision of these Terms is held invalid or unenforceable, that provision will be enforced to the maximum extent permitted by law, and the remaining provisions will remain in full force and effect.

No waiver. Our failure to enforce any provision of these Terms is not a waiver of our right to do so later.

Assignment. You may not assign or transfer these Terms or any of your rights or obligations under them without our prior written consent. We may assign these Terms at any time without notice. Any attempted assignment in violation of this section is void.

Relationship. Nothing in these Terms creates any agency, partnership, joint venture, employment, or franchise relationship between you and Beckmere.

Notices. We may give notice to you by posting on the Sites, by email to the address associated with your account, or by other reasonable means. Notices to Beckmere should be sent to the address in Section 18.

Force majeure. Beckmere is not liable for any failure or delay in performance caused by events beyond our reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, government action, labor disputes, supply-chain disruptions, internet or utility outages, or pandemics.

DMCA / Copyright. If you believe content on the Sites infringes your copyright, please send a notice with the information required by 17 U.S.C. § 512(c)(3) to the contact in Section 18 with the subject line "DMCA Notice."
